These Website Terms and Conditions (the “Terms”) govern your access to and use of the website, all related webpages, content, forms, features, communications, downloads, materials, products, services, and functionality made available by Advanced Graphene Technologies LLC (“AGT,” “Company,” “we,” “us,” or “our”) through this website and any related digital property controlled by AGT (collectively, the “Site”).

By accessing, browsing, using, submitting information through, communicating through, downloading materials from, or otherwise interacting with the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Site.

1. Eligibility and Authority

The Site is intended for use by persons who are at least eighteen (18) years of age and by businesses, institutions, contractors, municipalities, distributors, developers, purchasers, and other entities acting through authorized representatives. By using the Site, you represent and warrant that you have the full legal capacity, authority, and right to enter into these Terms and to bind any person or entity on whose behalf you act.

2. Limited License and Permitted Use

Subject to these Terms, AGT grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Site solely for lawful informational, commercial, and business purposes related to AGT’s products, technologies, services, and communications.

This license does not include any right to copy, reproduce, republish, distribute, modify, create derivative works from, sell, license, frame, mirror, scrape, or otherwise exploit the Site or any content on the Site except as expressly authorized in writing by AGT.

3. No Professional, Legal, Engineering, Regulatory, or Safety Advice

All content provided on the Site is for general informational and promotional purposes only. Nothing on the Site constitutes, or shall be construed as, legal advice, engineering advice, architectural advice, construction advice, safety advice, regulatory advice, environmental advice, investment advice, procurement advice, or a certified representation that any product, material, formulation, additive, coating, admixture, or technology will satisfy any code, standard, law, project specification, or performance threshold.

Any technical information, application discussion, testing reference, illustrative example, guide, formulation concept, use description, product explanation, or performance discussion appearing on the Site is general in nature and may not apply to your particular project, materials, environmental conditions, formulation, substrate, equipment, or use case. You are solely responsible for obtaining independent professional review and for conducting all testing, engineering validation, field evaluation, code review, regulatory analysis, and safety analysis necessary for your intended use.

4. Product Information; No Guarantee of Results

The Site may contain information regarding graphene-based additives, coatings, admixtures, formulations, protective systems, and related technologies for possible use in concrete, asphalt, paint, coatings, industrial materials, infrastructure systems, marine systems, and other applications.

Unless AGT expressly states otherwise in a separate written agreement signed by an authorized officer of AGT, all product descriptions, performance discussions, technical references, dosage examples, guides, photographs, illustrations, test discussions, and use examples are provided for general informational purposes only and shall not constitute any representation, warranty, guarantee, specification commitment, or promise of outcome.

Product and field performance may vary materially based on factors including, without limitation, dosage, substrate, mixing procedures, environmental exposure, storage conditions, installer technique, raw material variation, curing, maintenance, contamination, equipment, site conditions, and project-specific circumstances beyond AGT’s control. No content on the Site shall be interpreted as a guarantee that any product or information will deliver a particular performance result, lifespan, compatibility level, cost reduction, durability improvement, specification approval, or compliance outcome.

5. Quotes, Orders, Samples, Pilot Materials, and Availability

Any request for information, quote, sample, trial material, pilot material, demonstration material, testing material, prototype, or product through the Site does not constitute AGT’s acceptance of any order or create any binding obligation on the part of AGT.

All quotes, orders, sample shipments, pilot arrangements, and transactions are subject to AGT’s written acceptance, product availability, pricing confirmation, internal approval, compliance review, and any separate invoice, quotation, sales acknowledgment, or written agreement issued by AGT.

AGT reserves the right, in its sole discretion and without liability, to refuse, limit, suspend, delay, or cancel any request, quote, order, sample, account, or transaction for any lawful reason, including pricing errors, product availability issues, suspected misuse, suspected fraud, legal or regulatory concerns, business risk, or incompatibility with AGT policies.

All samples, pilot materials, prototype materials, beta materials, demonstration materials, and evaluation materials are provided strictly “AS IS,” “WHERE IS,” and “WITH ALL FAULTS,” with no guarantee of commercial readiness, long-term supply, resale rights, or suitability for field deployment.

6. Pricing, Specifications, and Site Accuracy

All prices, lead times, product descriptions, product images, specifications, dosage examples, availability statements, and other content appearing on the Site are subject to change at any time without notice. AGT does not warrant that Site content is complete, current, accurate, or error-free.

AGT reserves the right to correct any clerical, technical, typographical, pricing, inventory, specification, or descriptive error on the Site at any time, including after any inquiry, request, or order has been submitted.

7. Intellectual Property Rights

The Site and all content, materials, and information contained on or made available through the Site, including without limitation all text, wording, design, layout, graphics, charts, diagrams, logos, marks, icons, photos, videos, renderings, whitepapers, downloads, guides, product descriptions, trade dress, documents, software, code, data compilations, and other materials, together with all associated intellectual property rights, are and shall remain the exclusive property of AGT and/or its licensors.

No ownership interest in the Site or any content is transferred to you by reason of your use of the Site. Except as expressly permitted under these Terms, you may not use, reproduce, copy, republish, distribute, display, modify, adapt, translate, reverse engineer, decompile, create derivative works from, exploit, or commercialize any portion of the Site without AGT’s prior written consent.

8. Trademarks and Brand Protection

“AGT,” “Advanced Graphene Technologies,” and all related names, logos, marks, product designations, taglines, branding elements, and trade dress used on the Site are the property of AGT or its licensors. Unauthorized use is strictly prohibited.

You may not use AGT’s name, logos, trademarks, trade dress, product names, or branding in any advertisement, promotion, website, metadata, social media account, marketplace listing, AI-generated content workflow, or other public or commercial context without AGT’s prior written consent.

9. User Submissions

If you submit any inquiry, message, comment, feedback, suggestion, request, drawing, specification, project information, image, concept, formulation idea, data, technical material, or other content to AGT through the Site or through contact information provided on the Site (“Submissions”), you represent and warrant that:

you have the legal right to provide the Submission;
the Submission does not violate any applicable law or third-party right;
the Submission is not false, fraudulent, defamatory, unlawful, or misleading; and
the Submission does not contain malicious code, harmful material, or unauthorized confidential information.

Unless AGT has entered into a separate written confidentiality or non-disclosure agreement expressly covering a particular Submission, all Submissions shall be deemed non-confidential and non-proprietary. You hereby grant AGT a perpetual, irrevocable, worldwide, royalty-free, transferable, sublicensable right and license to use, review, reproduce, store, analyze, modify, adapt, publish, distribute, display, and otherwise exploit such Submissions for lawful business purposes.

You should not submit confidential, proprietary, export-controlled, restricted, or trade secret information through the Site unless AGT has expressly agreed in writing to receive such information under appropriate confidentiality protections.

10. Prohibited Conduct

You agree that you will not, directly or indirectly:

violate any applicable law, rule, regulation, or third-party right;
interfere with or disrupt the operation, integrity, or security of the Site;
attempt to gain unauthorized access to any portion of the Site, server, database, account, or related network or system;
use bots, crawlers, spiders, scrapers, data-mining tools, or other automated means to access, monitor, copy, or extract content or data from the Site without AGT’s prior written consent;
upload or transmit any malware, virus, ransomware, spyware, Trojan horse, or other harmful or disruptive code;
impersonate AGT, any AGT representative, or any other person or entity;
provide false, incomplete, or misleading information;
use the Site or its content to support a competing business, product, or service;
republish or exploit Site content for commercial advantage without AGT’s written permission; or
engage in conduct that could damage, disable, overburden, or impair the Site or AGT’s operations.

11. Third-Party Links and External Resources

The Site may contain links to third-party websites, resources, publications, platforms, distributors, service providers, or marketplaces. Such links are provided solely for convenience. AGT does not control and is not responsible for the content, accuracy, legality, security, availability, privacy practices, products, or services of any third-party website or resource. The inclusion of any link does not constitute an endorsement, approval, or recommendation by AGT.

12. Privacy

Your use of the Site is also subject to AGT’s Privacy Policy, if published, which is incorporated into these Terms by reference. To the extent there is any conflict between these Terms and the Privacy Policy with respect to privacy-specific matters, the Privacy Policy shall govern.

13. Children’s Use

The Site is not intended for children under thirteen (13) years of age, and AGT does not knowingly solicit or collect personal information from children through the Site. If AGT becomes aware that personal information has been submitted by or collected from a child under the age of thirteen without appropriate authorization, AGT reserves the right to delete such information.

14. Electronic Communications

By submitting information through the Site or otherwise communicating with AGT electronically, you consent to receive communications from AGT electronically, including by email and by other contact methods you provide, to the extent permitted by applicable law.

You are responsible for ensuring that all contact information you provide to AGT is accurate, current, and complete.

15. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SITE, ALL SITE CONTENT, ALL DOWNLOADS, ALL COMMUNICATIONS, ALL PRODUCT INFORMATION, ALL TECHNICAL MATERIALS, ALL EXAMPLES, ALL GUIDES, ALL SAMPLES, AND ALL PRODUCTS OR SERVICES REFERENCED OR MADE AVAILABLE THROUGH THE SITE ARE PROVIDED ON AN “AS IS,” “AS AVAILABLE,” AND “WITH ALL FAULTS” BASIS.

AGT EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTY OF MERCHANTABILITY, ANY IMPLIED WARRANTY OF FITNESS FOR A PARTICULAR PURPOSE, ANY WARRANTY OF TITLE, ANY WARRANTY OF NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE.

WITHOUT LIMITING THE FOREGOING, AGT DOES NOT WARRANT THAT:

the Site will be uninterrupted, secure, available, timely, or error-free;
any content on the Site is complete, accurate, or current;
any product or material described on the Site will be compatible with any particular paint, coating, concrete, asphalt, admixture, marine system, industrial process, substrate, or formulation;
any product or information will meet any code, law, regulation, procurement standard, or project specification;
any product or information will achieve any specific result, including durability, strength enhancement, barrier performance, corrosion resistance, adhesion improvement, moisture resistance, crack reduction, salt resistance, UV resistance, lifecycle benefit, or maintenance reduction; or
any sample, pilot material, prototype material, or demonstration material is suitable for commercial or field use.

NO ORAL STATEMENT, SALES DISCUSSION, WEBSITE CONTENT, MARKETING MATERIAL, SAMPLE, DEMONSTRATION, OR TECHNICAL COMMENT SHALL CREATE ANY WARRANTY, GUARANTEE, OR LIABILITY OBLIGATION ON THE PART OF AGT UNLESS EXPRESSLY SET FORTH IN A SEPARATE WRITTEN AGREEMENT SIGNED BY AN AUTHORIZED OFFICER OF AGT.

16. Use at Your Own Risk; Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ALL INFORMATION, CONTENT, TECHNICAL MATERIALS, PRODUCT DESCRIPTIONS, PERFORMANCE DISCUSSIONS, FORMULATION REFERENCES, APPLICATION EXAMPLES, GUIDES, DOWNLOADS, RECOMMENDATIONS, SAMPLE MATERIALS, PILOT MATERIALS, DEMONSTRATION MATERIALS, PROTOTYPE MATERIALS, AND PRODUCTS MADE AVAILABLE BY AGT ARE PROVIDED WITHOUT ANY GUARANTEE OF RESULTS.

YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT ANY PRODUCT, SAMPLE, INFORMATION, OR MATERIAL MADE AVAILABLE BY AGT REQUIRES INDEPENDENT TESTING, VALIDATION, ENGINEERING REVIEW, SAFETY REVIEW, REGULATORY REVIEW, FIELD TRIALING, AND PROJECT-SPECIFIC CONFIRMATION BY THE USER BEFORE ANY COMMERCIAL, RESIDENTIAL, INDUSTRIAL, MUNICIPAL, INFRASTRUCTURE, OR MARINE USE.

YOU ASSUME ALL RISK AND RESPONSIBILITY FOR:

product selection;
dosage determination;
storage;
transport;
handling;
blending;
formulation;
mixing;
application;
installation;
curing;
labeling;
marketing;
compliance review;
regulatory compliance;
code compliance;
resale;
repackaging;
relabeling;
downstream claims; and
third-party use or misuse.

AGT SHALL NOT BE LIABLE FOR ANY CLAIM, LOSS, DAMAGE, COST, OR LIABILITY ARISING OUT OF OR RELATING TO:

misuse of any product or information;
improper application, installation, or handling;
improper storage or transport;
improper dosage or formulation;
failure to conduct independent testing or validation;
failure to follow written instructions;
modification of any product;
combination of AGT products with third-party materials, systems, or processes;
environmental exposure or field conditions;
contractor, installer, operator, engineer, architect, or purchaser error;
design defects, specification defects, or project-level decisions; or
any use not expressly approved in writing by AGT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGT, TOGETHER WITH ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, REPRESENTATIVES, AFFILIATES, SUCCESSORS, ASSIGNS, LICENSORS, AND SUPPLIERS, SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, ENHANCED, OR PUNITIVE DAMAGES, INCLUDING, WITHOUT LIMITATION, LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF BUSINESS, LOSS OF DATA, LOSS OF GOODWILL, PROJECT DELAY, BUSINESS INTERRUPTION, REMEDIATION COSTS, REMOVAL COSTS, REPLACEMENT COSTS, RECALL COSTS, SUBSTITUTE PROCUREMENT COSTS, DAMAGE TO OTHER MATERIALS, STRUCTURAL FAILURE, COATING FAILURE, SURFACE FAILURE, WATER INTRUSION, CORROSION, CUSTOMER CLAIMS, THIRD-PARTY CLAIMS, OR REPUTATIONAL HARM, WHETHER BASED IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, STATUTE, OR OTHERWISE, EVEN IF AGT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGT’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SITE, ANY PRODUCT, ANY SAMPLE, ANY COMMUNICATION, ANY ORDER, OR THESE TERMS SHALL NOT EXCEED THE LESSER OF:

the amount actually paid by the claimant to AGT for the specific product or service giving rise to the claim; or
ONE HUNDRED U.S. DOLLARS (US $100.00).

WITHOUT LIMITING THE FOREGOING, YOU WAIVE, TO THE MAXIMUM EXTENT PERMITTED BY LAW, ANY CLAIM AGAINST AGT FOR FIELD PERFORMANCE, PROJECT SUITABILITY, OR FITNESS OF ANY PRODUCT FOR ANY SPECIFIC JOB, MIX DESIGN, COATING SYSTEM, SUBSTRATE, STRUCTURE, ENVIRONMENTAL CONDITION, OR END USE, UNLESS AGT HAS PROVIDED A SEPARATE EXPRESS WRITTEN WARRANTY SIGNED BY AN AUTHORIZED OFFICER OF AGT.

17. Assumption of Risk

You acknowledge that the products, materials, technologies, formulations, and information referenced on the Site may involve technical, chemical, industrial, construction-related, manufacturing-related, coating-related, infrastructure-related, transportation-related, and field-use risks.

You voluntarily assume all risk associated with the testing, evaluation, formulation, storage, transport, handling, mixing, application, installation, specification, compliance review, marketing, resale, and end use of any product, sample, information, or communication obtained from AGT or through the Site.

18. Indemnification

You agree to defend, indemnify, and hold harmless AGT and its members, managers, officers, employees, affiliates, agents, representatives, successors, assigns, licensors, and suppliers from and against any and all claims, demands, suits, actions, losses, damages, liabilities, judgments, penalties, fines, costs, and expenses, including reasonable attorneys’ fees and legal costs, arising out of or relating to:

your use or misuse of the Site;
your breach of these Terms;
your violation of any law, rule, regulation, or third-party right;
your Submissions;
your business activities involving any AGT product, material, sample, or communication;
your resale, repackaging, relabeling, promotion, marketing, distribution, application, installation, or downstream representation of any AGT product or information; or
your negligent, unlawful, fraudulent, or unauthorized conduct.

19. Compliance With Laws

You are solely responsible for compliance with all applicable federal, state, and local laws, regulations, codes, standards, environmental requirements, safety requirements, labeling requirements, export controls, procurement rules, contract obligations, and project specifications relating to your access to the Site and your testing, use, handling, application, sale, resale, marketing, storage, transport, or distribution of any AGT product, material, technology, or information.

20. Suspension or Termination

AGT reserves the right, in its sole discretion and without notice, to suspend, restrict, or terminate your access to the Site or any portion of it at any time for any lawful reason, including where AGT believes that you have violated these Terms, applicable law, or the rights or interests of AGT or others.

21. Modifications to the Site or Terms

AGT reserves the right to modify, suspend, discontinue, or remove any portion of the Site, any Site feature, any product listing, or any content at any time without notice or liability.

AGT may revise these Terms at any time by posting an updated version on the Site. Your continued use of the Site after revised Terms are posted constitutes your acceptance of the revised Terms.

22. Governing Law

These Terms and any dispute, claim, or controversy arising out of or relating to the Site or these Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania and the applicable laws of the United States of America, without regard to conflict of law principles.

23. Venue and Jurisdiction

Any legal action or proceeding arising out of or relating to the Site or these Terms shall be brought exclusively in the state or federal courts serving Northampton County, Pennsylvania, and each party irrevocably submits to the personal jurisdiction and venue of such courts.

24. Waiver and Severability

No waiver by AGT of any provision of these Terms shall be deemed a continuing waiver of that provision or of any other provision.

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect to the maximum extent permitted by law.

25. Entire Agreement

These Terms constitute the entire agreement between you and AGT with respect to your use of the Site and supersede all prior or contemporaneous understandings, communications, and proposals, whether oral or written, relating to the Site.

If AGT enters into a separate written agreement with you, that separate written agreement shall control to the extent of any direct conflict with these Terms.
